Clayton, Dubilier & Rice Completes Acquisition of ITW's Decorative Surfaces Business

NEW YORK - October 31, 2012 - Clayton, Dubilier & Rice ("CD&R") today announced the close of an investment in Wilsonart International Holding, LLC ("Wilsonart"), formerly ITW's Decorative Surfaces business. ITW retains an ongoing ownership stake in the new, independent company.

Wilsonart's business units manufacture and distribute high pressure laminates ("HPL") and other fine surfacing materials and components used in furniture, office and retail space, countertops, worktops and other applications. The Company holds the leading HPL position in North America and Germany and the #2 position in the U.K., France, Spain, Benelux, China and Thailand. With 2011 revenue of $1.1 billion, the company operates under the Wilsonart, Resopal, Polyrey, Arborite and Ralph Wilson brands, selling primarily through a network of company-owned and exclusive, independent distributors in North America and non-exclusive, independent distributors internationally.
